The business community has expressed strong opposition to the passage of the Commercial Act amendment by a parliamentary judiciary subcommittee led by the main opposition Democratic Party of Korea (DPK). Industry officials reported on Tuesday that the DPK unilaterally passed the amendment on Monday, while the ruling People Power Party (PPP) boycotted the vote.
The amendment aims to expand corporate directors' fiduciary duties to encompass greater responsibilities toward shareholders and applies to both listed and unlisted corporations. The DPK intends to advance the amendment for a plenary session vote on Thursday.
In response to the amendment's passage, eight major business organizations, including the Federation of Korean Industries and the Korea Chamber of Commerce and Industry, issued a joint statement expressing deep concern. They criticized the lack of consideration for their concerns, stating that tightening corporate governance regulations could hinder companies' growth ambitions and weaken the industrial foundation amid intensifying global competition.
The statement highlighted that domestic businesses are currently facing unprecedented uncertainties, such as sluggish domestic demand and the potential return of protectionist policies. It cautioned that the amendment could lead to excessive lawsuits against directors, ultimately making it more difficult to conduct business in Korea and harming domestic retail investors.
In contrast, the ruling party has decided to request acting President Choi Sang-mok to veto the amendment. PPP spokesperson Park Soo-min expressed concerns that the amendment could create confusion in corporate management and increase legal costs, criticizing the rushed nature of the bill's passage.
PPP Rep. Yoo Sang-bum argued that the DPK pushed through an unreasonable amendment despite the government's proposal to amend the Capital Markets Act as an alternative to address business community concerns. He suggested that the DPK's actions were motivated by political ambitions related to potential early elections.
The government had previously announced plans to amend the Capital Markets Act to introduce targeted regulations that protect minority shareholders during mergers, acquisitions, and spinoffs, applying only to listed companies. This initiative was intended to address fears that the Commercial Act amendment would impede corporate management.

정부 여당, 대통령 직무대행에 수정안 거부 요청
기업계는 주요 야당이 주도하는 국회 법제사법 소위원회를 통과한 상법 개정안에 대해 강력히 반발하며 재검토를 촉구하고 있다고 업계 관계자들이 전했다.
더불어민주당(DPK)은 월요일 국회 법제사법위원회 소위원회를 통해 일방적으로 개정안을 통과시켰으며, 여당인 국민의힘(PPP)은 투표를 보이콧했다.
이번 개정안은 기업 이사의 신의성실 의무를 확대하여 주주에 대한 책임을 강화하는 내용을 담고 있으며, 상장사와 비상장사 모두에 적용된다. DPK는 목요일 국회의 전체 회의에서 개정안을 통과시키겠다는 계획이다.
한국경영자총협회, 한국상공회의소, 한국기업연합회, 한국무역협회 등 8개 주요 기업 단체는 개정안 통과 직후 공동 성명을 발표하고 깊은 우려를 나타냈다.
이들은 성명에서 “우리는 개정안에 대해 지속적으로 문제를 제기했지만 우리의 우려가 전혀 수용되지 않아 깊은 좌절감을 느끼고 있다”고 밝혔다. “글로벌 경제 경쟁이 치열해지고 주요 산업의 경쟁력이 약화되고 있는 상황에서 기업 지배구조 규제를 지나치게 강화하면 회사의 성장 의욕을 저해하고 산업 기반을 약화시킬 뿐”이라고 강조했다.
또한 국내 기업들이 국내 수요 부진, 도널드 트럼프 미국 대통령의 백악관 복귀, 보호무역주의 확산 등 전례 없는 불확실성에 직면하고 있다고 언급했다.
그들은 “상법 개정은 이사에 대한 과도한 소송을 유발하고 주주권익 침해를 통한 기업 경영 공격의 도구로 악용될 것”이라며, “한국이 더 힘든 기업 환경이 될 것”이라고 경고했다. “이는 기업 경쟁력을 약화시키고 한국 할인 현상을 심화시켜 궁극적으로 국내 소액 투자자에게 심각한 피해를 줄 것”이라고 덧붙였다.
여당은 이에 대해 최상묵 대통령 직무대행, 또한 경제부 장관에게 개정안 거부를 요청하기로 결정했다.
PPP 대변인 박수민은 화요일 기자들과 만나 “이번 개정안은 기업 경영에 혼란을 초래할 가능성이 높고 법적 비용이 급증할 것”이라고 밝혔다. “이런 문제들은 신중한 논의가 필요한데, 법안이 일방적으로 서둘러 통과되어 정말 아쉽다”고 강조했다.
PPP 의원 유상범은 야당이 기업계의 우려를 해소하기 위해 정부와 여당이 대안으로 제안한 자본시장법 개정안을 무시하고 불합리한 개정안을 강행했다고 지적했다. 그는 DPK의 행동이 조기 선거 시 당 대표가 대통령이 되도록 하기 위한 것이라고 주장했다.
정부는 이전에 상장사에만 적용되는 인수합병 및 분할 시 소수 주주를 보호하기 위한 규제를 도입하는 자본시장법 개정 계획을 발표한 바 있다. 이는 상법 개정이 기업 경영에 악영향을 미칠 것이라는 우려에 대한 대응이었다.
